These Terms & Conditions ("Terms") govern your access to and use of TopRock (the "Service"), operated by Daniel Khalil ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

TopRock is a review automation tool that helps local businesses request and capture customer reviews on Google. We provide the software, hosting, and supporting infrastructure on a subscription basis.

2. Acceptance & Eligibility

By using the Service you confirm that you are at least 18 years old, or, if signing up on behalf of a business, that you have authority to bind that business to these Terms. Continued use of the Service constitutes acceptance of these Terms and any updates.

3. Accounts

  • You must provide accurate information and keep your account details up to date.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • Notify us promptly of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, fraud, spam, or harassment.
  • Send review requests to people who have not consented to receive communications from your business.
  • Attempt to manipulate, fabricate, or incentivise reviews in violation of Google's policies.
  • Infringe any intellectual property rights or applicable law.
  • Probe, scan, scrape, reverse-engineer, or interfere with the Service or its security.
  • Upload malware or otherwise attempt to disrupt the Service.

5. Intellectual Property

We retain all right, title, and interest in the Service, including the software, documentation, branding, and any improvements. You receive a limited, non-exclusive, non-transferable right to use the Service within your subscription plan. You may not resell, redistribute, or circumvent technical limits of the Service.

6. User Content

You retain ownership of content you submit (e.g. customer lists, message templates, business information). You grant us a limited license to host and process that content solely to provide the Service to you.

7. Service Availability

We work to keep the Service available but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payment, Billing & Refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms. See also our Refund Policy.

9. Suspension & Termination

We may suspend or terminate your access to the Service for: material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. On termination, your right to use the Service ends; you may request export of your data within 30 days of termination, after which it may be deleted.

10. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (e.g. for fraud or personal injury).

11. Indemnification

You agree to indemnify us against third-party claims arising from your content, your unlawful use of the Service, or your violation of these Terms.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which the seller is established, without regard to its conflict-of-laws rules.
